Terms of Service

1. Acceptance of Terms

By accessing or using the Replona platform, website at replona.com, or Replona mobile application (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you (or the entity you represent) and Replona ("we", "our", or "us").

2. Description of Service

Replona is a SaaS platform that connects to your Google Business Profile via the official Google Business Profile API to automatically fetch reviews, generate AI-powered reply drafts, and optionally publish those replies on your behalf. The Service includes:

• Automated review syncing (every 10 minutes)
• AI-generated reply drafts via OpenAI
• Manual and automatic reply publishing to Google
• Multi-location management
• Mobile applications for iOS and Android
• Push notifications for new reviews

3. Account Registration

To use the Service, you must create an account and connect your Google Business Profile. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activity that occurs under your account
• Notify us immediately of any unauthorized use of your account

You must have the legal authority to connect and manage the Google Business Profile accounts you add to the Service. You represent that you are an authorized representative of the business.

4. Subscription and Payments

4.1 Plans and pricing

Replona offers subscription plans (Starter, Pro, Business) billed monthly. Current pricing is available at replona.com/pricing. Prices may change with 30 days' advance notice.

4.2 Free trial

New accounts receive a 14-day free trial with full Pro plan access. No credit card is required to start the trial. After the trial period, a subscription is required to continue using the Service.

4.3 Billing

Subscriptions are billed in advance on a monthly basis. Payments are processed by our payment provider. You authorize us to charge your payment method for the applicable subscription fee.

4.4 Cancellation and refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods, except where required by applicable law.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Post replies that are false, misleading, defamatory, or harmful
• Violate Google's terms of service or policies for Google Business Profile
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to send spam or unsolicited communications
• Resell or sublicense the Service without our written permission
• Reverse engineer, decompile, or disassemble any part of the Service

6. AI-Generated Content

The Service uses artificial intelligence to generate reply drafts. You acknowledge and agree that:

• AI-generated replies are drafts and may not always be accurate, appropriate, or complete
• You are responsible for reviewing and approving replies before they are published to Google
• When auto-publish is enabled, you accept full responsibility for all published replies
• We are not liable for any consequences arising from AI-generated content you approve or auto-publish

We recommend reviewing replies before publishing, particularly for negative reviews or sensitive topics.

7. Google Services Integration

The Service integrates with Google's APIs. Your use of Google services through Replona is also governed by Google's Terms of Service and the Google Business Profile Terms. You are responsible for ensuring your use complies with those terms.

We are not affiliated with, endorsed by, or sponsored by Google. Google is a trademark of Google LLC.

8. Intellectual Property

The Service, including its software, design, and content, is owned by Replona and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes in accordance with these Terms.

You retain ownership of your business data and review content. By using the Service, you grant us a limited license to process that data solely to provide the Service.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. Planned maintenance, outages, and issues with third-party services (including Google's APIs) may affect availability. We are not liable for any loss or damage caused by unavailability of the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Replona shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to your use of the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access if you violate these Terms or if required by law. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive, including sections on intellectual property, disclaimers, and limitation of liability.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Serbia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Serbia.

14. Changes to Terms

We may modify these Terms at any time. We will provide at least 14 days' notice of material changes by email or prominent notice within the Service. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
